Terms of Service

These Terms of Service ("Terms") govern your use of CloseIQ (the "Service"), operated by CloseIQ ("we," "us"). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

CloseIQ analyzes sales conversations you provide and generates follow-up communications and related recommendations using artificial intelligence. The Service is a drafting and analysis tool. You decide what, whether, and to whom anything is sent.

2. Your Content and Responsibility

You retain ownership of the content you submit (threads, notes, documents) and the outputs generated for you. By submitting content, you grant us a limited license to process it solely to provide the Service. You represent that you have the right to submit the content you provide, including any communications involving third parties, and that your use of the Service and of any generated output complies with all applicable laws.

3. Acceptable Use

You agree not to use the Service to:

• send unsolicited bulk email or otherwise violate anti-spam laws (including CAN-SPAM, CASL, and GDPR/ePrivacy rules applicable to your recipients);
• deceive, defraud, harass, or misrepresent yourself or your offering to any recipient;
• process content you have no right to process;
• violate any law, regulation, or third-party right;
• probe, disrupt, or attempt to circumvent the Service's security or usage limits.

We may suspend or terminate access for violations of this section.

4. AI-Generated Output

Outputs are generated by artificial intelligence and may be inaccurate, incomplete, or unsuitable for your situation. You are solely responsible for reviewing, editing, and approving any output before use. Deal scores, recommendations, and analyses are informational estimates, not professional, legal, or financial advice, and no particular sales outcome is promised or implied.

5. Accounts, Credits, and Payment

Certain features may require an account and the purchase of credits or a subscription. Fees, credit costs, and refund terms are presented at the point of purchase. Credits have no cash value and are non-transferable. We may modify pricing prospectively with notice.

6. Intellectual Property

The Service, including its software, design, prompts, and branding, is our property or that of our licensors. These Terms grant you no rights in the Service other than the limited right to use it as intended.

7. Third-Party Services

The Service relies on third-party providers, including AI model providers and hosting services, to operate. Your content is processed by those providers as described in our Privacy Policy.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING FITNESS FOR A PARTICULAR PURPOSE, MERCHANTABILITY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT OUTPUTS WILL ACHIEVE ANY RESULT.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE, OR ONE HUNDRED US DOLLARS IF YOU HAVE PAID NOTHING.

10. Indemnification

You will indemnify and hold us harmless from claims arising out of your content, your communications with recipients, or your violation of these Terms or applicable law.

11. Termination

You may stop using the Service at any time. We may suspend or terminate the Service or your access to it for violation of these Terms or as required by law. Sections 2, 4, and 6 through 13 survive termination.

12. Changes

We may update these Terms from time to time. Material changes will be indicated by updating the date above. Continued use after changes constitutes acceptance.

13. Governing Law

These Terms are governed by the laws of the Commonwealth of Pennsylvania, USA, without regard to conflict-of-law principles. Exclusive venue for disputes lies in the state or federal courts located in Allegheny County, Pennsylvania.
